Terms of Service

1. Acceptance of Terms

By accessing or using our services, you agree to be bound by these Terms of Service and all applicable laws and regulations.

2. Description of Services

We provide software as a service to businesses, associations and, where a product is sold to them, private persons. The specific features and functionality depend on your subscription plan.

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate information and notify us immediately of any unauthorized access.

The account and the workspace must say who you are. You may not pose as another person or organisation, or give an organisation name or number that is not the one you act for. We may ask you to prove who you are and that you act for the organisation you name, and until you have, we may limit what the workspace can do, including how much it can send.

4. Data and Privacy

Your use of our services is also governed by our Privacy Policy. Please review it to understand how we collect, use, and protect your data.

Where you put personal data into the service, Skiwo AS processes it on your behalf under our Data Processing Agreement, which forms part of these terms on every plan.

5. Acceptable Use

Our services are intended solely for lawful purposes. You agree not to:

• Use the services for any unlawful purpose or in violation of any applicable law or regulation
• Upload, share, store, or distribute content that is illegal, including but not limited to child sexual abuse material (CSAM), pirated or copyright-infringing content, stolen data, or malware
• Use the services to facilitate fraud, money laundering, terrorism financing, or any other criminal activity
• Upload content that promotes violence, hatred, harassment, or discrimination against any individual or group
• Attempt to gain unauthorized access to any systems, accounts, or data
• Interfere with or disrupt the services or circumvent any security measures
• Upload malicious code, viruses, ransomware, or any harmful software
• Use the services to distribute spam or unsolicited communications
• Share unauthorized government classified material or leaked credentials
• Pose as another person or organisation, or give false details about who you are or whom you act for
• Send messages, signing requests or invitations to people who have not agreed to receive them, where the law requires that agreement

6. What You Send

Messages, documents, signing requests, invitations and other communications you send through the services are yours. You decide what they say and who receives them, and you are responsible for both.

You confirm that you have a lawful basis to contact every recipient, including consent where the law requires it for electronic marketing (in Norway, section 15 of the Marketing Control Act), and that what you send breaks no law and no one else's rights.

Skiwo AS delivers these communications on your behalf. We may hold, limit, delay or stop a send, and withdraw what has already been sent, when we have reasonable grounds to believe it breaks these terms.

7. Monitoring, Logging, and Enforcement

All activity on our services is logged for security and compliance purposes, including user actions, IP addresses, timestamps, and relevant metadata. By using our services, you acknowledge and consent to this logging.

We reserve the right to, without prior notice:

• Immediately suspend or terminate your account if we have reasonable grounds to believe you are using our services for prohibited purposes
• Limit, delay or stop sending from a workspace, and withdraw communications already sent, while we look into suspected abuse
• Remove or disable access to any content that violates these terms
• Report illegal content and associated account information to law enforcement authorities, including but not limited to the Norwegian police (Kripos), Europol, and NCMEC
• Cooperate fully with law enforcement investigations, including providing user data, audit logs, IP addresses, uploaded files, and access records upon lawful request
• Retain evidence of prohibited activity for the purpose of legal proceedings

8. Intellectual Property

The services and their original content, features, and functionality are owned by Skiwo AS and are protected by international copyright, trademark, and other intellectual property laws. You retain ownership of content you upload, but you grant us a limited license to store and deliver it through the services.

9. Limitation of Liability

The services are provided "as is" and "as available" without warranty of any kind. To the maximum extent permitted by law, Skiwo AS shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

Skiwo AS's total liability for all claims connected with the services is limited to what you paid for the services in the twelve months before the event the claim arises from. On a free plan, that amount is zero.

Nothing in these terms limits liability that the law does not allow to be limited, including liability for gross negligence or wilful misconduct, or a consumer's rights under mandatory consumer law.

10. Indemnity

You will indemnify Skiwo AS against claims, fines, losses and reasonable costs, including legal fees, that arise from what you put into or send through the services, from your use of the services in breach of these terms or the law, or from a third party's claim that your content or your sends infringe their rights. This does not apply to the extent a loss was caused by Skiwo AS's own breach.

A private person who uses the services as a consumer is liable under the general rules of Norwegian law instead of this section.

11. Payment

A paid plan is paid in advance, for a month or for a year, at the price on the workspace's plan page. Prices are shown with and without VAT.

Skiwo AS invoices a paid plan through Payout Partner: to an organisation or a private person in Norway with Norwegian VAT, and to an organisation outside Norway, which gives its VAT number, without VAT under the reverse charge, so the organisation accounts for VAT where it is.

A private person outside Norway can use the free plan. A paid plan outside Norway is bought by an organisation.

If a card payment fails, Stripe tries again. After the last attempt the plan ends and the workspace continues on the free plan.

An invoice is due 14 days after it is sent. If it is not paid, the plan can be ended, and the workspace continues on the free plan.

Use beyond what a plan includes is invoiced afterwards, on the next invoice.

12. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including for conduct that we believe violates these Terms, is harmful to other users, us, or third parties, or involves illegal activity. Upon termination, your right to use the services ceases immediately. We may retain your data as required by law or for legitimate business purposes.

13. Governing Law

These Terms are governed by the laws of Norway. Any disputes shall be resolved in the courts of Oslo, Norway.

14. Changes to Terms

We reserve the right to modify these terms at any time. Material changes will be communicated via email or through the services. Continued use of the services after changes constitutes acceptance of the modified Terms.
